OOASC Full Committee meeting 19th December 2022 – Minutes

Minutes of the Full Committee Meeting held on Monday 19th December 2022
at 7.30pm in the Main Hall at Old Owen’s Sports Ground.

  1. Finance (Richard Hattrell)
  • RH presented figures for Profit and Loss and the Balance Sheet. As at 5th December 2022 there was £120k in the HSBC bank account, £7k in the Barclays account, £9.8k in the Owenians Alumni account and a surplus of £62.8k.
  • Most of the Football payments for the rental invoices that were sent out have been paid. Outstanding rental payments from Finchley C.C. and Sri Lankan C.C. have been received.
  • RH is still awaiting authorisation for the Mandate change for signatories on the Barclays account.
  • RH is seeking a copy of the Charitable Trust Deed for the Association.
  1. The Ground (Tim Lane)

      5.1 Grass Pitch Maintenance Fund

  • We have received the 1st grant payment of £18,560. We will need to carry out the required conditions for the grant and provide the necessary back up information to be able to claim for year two.

      5.2 Borehole Project

  • Applied for ECB grant of £10k. The ECB want further information i.e. Soil report etc. Looking to site the Borehole behind the scorebox. Quotation for Borehole project is circa £25k.

      5.3 Irrigation Project

  • Quotation for irrigation project is circa £46k.

      5.4 Club House Refurbishment 

  • TL will contact Ayo and Anna to meet and discuss the refurbishments required to the Clubhouse. 

      5.5 Paddle Tennis Project 

  • TL will meet with Steve Riley in January to follow up the Paddle Tennis opportunity, to be sited on the derelict Tennis Courts at the Ground.

      5.6 Tennis Centre Presentation

  • Discussions took place between the Tennis Organisation and Committee members. The Tennis Organisation are looking to develop 5-6 tennis courts in the area near the pavilion, derelict tennis courts and football pitch 4 (IB pointed out that pitch 4 brings in a revenue of 6k a season). The Tennis Organisation mentioned the possibility of building a new pavilion area that could include a gym, squash courts etc. and that they would bring 200 members with them initially. As a result the Tennis Organisation would want a joint partnership with the Association and a stake in the freehold with regard to security for the total project development. The Tennis Organisation would also do any planning that was needed for the project. Concerns were aired by Committee members on how much of pitch 4 we would lose, the impact on the Cricket Boundaries, Car Parking space required and how long the project would take to complete.
  • The Tennis Organisation will do detailed measurements and a survey of what will be required to install the tennis courts. They will also determine our boundaries and find out who owns any non green belt parcels of land adjoining the Ground with a view to making purchases to aid the development (Thanks to AW for arranging the meet with the Tennis Organisation).   
  1. OOASC Sports Clubs

      6.1    OOFC Football Section (IB)

  • IB reported that only one fixture has been played in December for the 3 Saturday teams and the Sunday Vets. Fixtures are due to re-commence in January. Monies are coming in from the players.

      6.2    OOCC Cricket Section (TL) 

  • The Junior section commenced nets at the School on Monday 7th November with soft and hard ball sessions.
  • Winter nets for the Seniors will commence on Tuesday 3rd January 2023 at Chancellors School.

      6.3    Affiliated Clubs

  • Potters Bar needs to appoint a representative on the Association Committee to replace Phil Riley.

  • AH reported that no analysis of members’ subscriptions could be done as Richard is still awaiting authorisation for the Mandate Change on the Barclays Account, so that bank statements from the 1st August 2022 onwards can be retrieved (the bulk of members’ subscriptions are paid on this date).

  • The website is running smoothly with regular traffic and is updated as and when necessary.

OOASC Full Committee meeting 3rd October 2022 – Minutes

Minutes of the Full Committee Meeting held on Monday 3rd October 2022 at 7.30pm

(The meeting commenced with the introduction of our new Committee member Ayo Abugo to other Committee members present).

  2. JLC Presentation (John//Lynn Clark)
  • JLC presented the Bar and Food Trading figures. Sales in June, July and August were good but sales in September not so good (A planned Jazz night function was cancelled due to a lack of musicians available). There were a few bookings but not as many as before. Future confirmed bookings are an Elvis night (14th October), Cricket Club Dinner (3rd December) and a Quiz night (23rd December). A Firework night is planned for November (date to be confirmed). JLC pointed out that 2 Old Owens football teams are no longer playing which has affected sales. Darts and Cribbage in the Clubhouse has started up again and the Football World Cup is imminent, so JLC are hopeful that bookings for matches will be made.
  • JLC stated that there are several overhanging trees in the Car Park that need to be addressed (PK to liaise with Ed Clark on how to manage the situation).
  1. Matters arising from previous minutes 27th June 2022

  1. Finance (Richard Hattrell)
  • RH presented figures for Profit and Loss and the Balance Sheet. As at 30th September 2022 there is £83k in the Bank Current account and £10.8k in the Owenians Alumni account and a surplus of £7.1k.
  • All Football rental invoices for season 22/23 have gone out. Finchley C.C. and the Sri Lankan C.C. that rented the ground in the cricket season just finished have outstanding payments.
  • RH advised that mandate details on the Barclays account has to be changed for signatories, logging in etc (i.e. Alan Davison and Stan Gould). TL will contact Barclays Bank. 
  1. The Ground (Tim Lane)
  • The Ground has transited from Cricket to Football well. No matches were lost to the weather at Cricket, so rental of pitches was good. The Football Club helped with work that was needed for the start of the season. Pitches are good, green and grassy although pitch 4 has some weeds on it which will require some work. Boreholes and irrigation process is also being looked at (TL to talk to IB).
  • We are still awaiting the outcome of the application made by Jon Robinson from the Football Club for a grant from the Pitch Maintenance Fund of £18.5k in each of the first 2 years.

      6.1    OOFC Football Section (Paul Kennedy)

  • PK reported that the 1st weekend of the season was cancelled due to the Queen’s death. Owens now have 3 teams only in the SAL as the 4th XI have disbanded but are hopeful that they can be back next season. However, some of the players from the 4th team will play for Owens Vets this season on a Sunday. The 1st XI won their Cup game last Saturday.

      6.2    OOCC Cricket Section (RobH)

  • 1st & 2nd XI teams were both promoted as champions of the Herts Saracens League and the 3rd team finished 4th. Towards the end of the season the 3rd XI had some new influx of players which hopefully bodes well for next season. The junior section is thriving with some of the juniors playing for the 3rd XI during the season.
  • There is a possibility that having teas might return next season.

      6.3    Affiliated Clubs (Phil Riley)

      TL stated that refurbishment of the inside of the Clubhouse needs to be looked at with regard to the flooring,
      walls, decorations etc and is open to any suggestions or ideas. AA said she would be interested in helping with
      the project in hand and will liaise with TL and AWel to discuss.

OLD OWEN’S ASSOCIATION AND SPORTS CLUB LIMITED (OOASC)

MINUTES OF AGM HELD AT OLD OWEN’S SPORTS GROUND, COOPER’S LANE, EN6 4NF on Wednesday 7th September 2022.

Meeting commenced at 7.40 pm.

4.    Matters arising from the AGM Minutes:

 i)    We continue to grow our membership and have set up ties with the School via the Owenians Alumni Members
       Club, so good progress is being made.

ii)   A special mention and thanks to Alan Davison who passed away on 8th October 2020, for all the work he did on
       behalf of the OOASC.

iii)   We are still seeking members to join the OOASC Committee and to have more female participation within the
       Sports Clubs.

iv)   Contract negotiations was sorted in July 2022 (1 year contract)

5. Chairman’s Report:

Tim Lane gave his report on the OOASC to the meeting as follows:

Welcome

As you are all aware this is our first AGM since 2019 due to the pandemic, but rest assured the Committee met and continued to look after our affairs throughout this period.

Thank You’s

i) I start by thanking all the serving Committee members and Directors for all their hard work and knowledge. This promoted lively discussion at times and good decision making.

ii) We thank Nicki Culhane at DAOS for continuing to assist our day-to-day financial administration.

ii) We thank JLC Owens (John, Lynn, Ed and Aoy) for all their hard work through difficult times, keeping us fed and watered, which makes this Club always welcoming and inclusive.

iv) We thank our supply chain and consultants for their support and loyalty i.e. Ward Amenities, ATB, G20 Plumbing Services, ATCO, Chubb Fire Consultants, Mercury Security and Ashbourne Insurance to name but a few.

v) Lastly we thank our Sport Clubs and their Committees for ensuring teams are selected, fixtures fulfilled and achieving high standards. We will hear more from their representatives later this evening.

Achievements

i) During lockdown we managed to extend our patio which gave us a larger outdoor space that helped us operate when Covid-19 restrictions started to lift.

ii) We installed ‘tall ball stop nets’ to Football pitch 2 and Cricket pitch 2. Well done Ian Breeze and Andy Ward for procuring the materials (mostly free of charge) and to the ground staff for erecting.

iii) We replaced the rotting timber doors and windows to the bungalow and the fascias and gutters to the pavilion, which has enhanced our curb appeal.

iv) We also purchased two new cricket sightscreens and replacement nets for the goals.

v) Very importantly we entered into a signed agreement with the School to ensure both our vision’s and expectations are catered for going forward. We have already been able to donate £4k to the setting up of the Owenians Alumni Members Club, which is currently being steered by Anna Welsford, for the School. Anna now sits on our  Committee which helps greatly.

vi) The Bar and Catering contract was up for renewal again in July 2022, which was successfully renewed with JLC Owens until July 2023. We thank them again for all their hard work and not least the introduction of Thai Food from the kitchen.

vii) Lastly and most recently the Football Club led by Jon Robinson have applied for a Grass Pitch Maintenance Grant which when approved will grant us £50k+ over 4 years, which will give us flexibility with our current budget to invest in other things. Thanks to Jon and his team.

What next

i) It has been repeatedly discussed by the members that the Bar and Function rooms could do with a face lift, so it is our intention to put a plan together to do just that. Works will include new flooring, decorations and some minor remodeling.

ii)  The tennis court area still remains an eyesore and a waste of commercial space. Several options are being investigated which I hope will be developed, especially if its use can encourage more female participation in sport.

iii)  We will be working closely with the newly formed Owenians Alumni Members Club to increase the membership and to encourage younger members to join the Committee to ensure the OOASC moves forward in step with time.

iv) The Bar and Catering contract expires in July 2023, so again the Committee will have to discuss the options as to the most commercial way forward.

Overall, the Committee believes the Club is in good shape and continues to offer a safe and inclusive environment going forward.

The meeting thanked Tim Lane for his report and all his work for the OOASC.

6. Confirmation of Treasurer Appointment:

 The meeting confirmed the appointment of Richard Hattrell as Treasurer to the OOASC on 12th April 2021.

7. Financial Report and presentation of accounts

Hannah Nemko read out the OOASC Treasurers report to the meeting in the absence of Richard Hattrell, with information as follows:

‘As a consequence of Covid-19 it has been two years since financial statements have been presented to the members. I therefore present the financial statements for the year ended 31st July 2021, which include the results for both 2020 and 2021’.

 i)   Covid-19 clearly had a significant impact on the Club. In 2019 our income was £83,971 and in 2020 which was impacted from March 2020 onwards, income had reduced to £70,717. In 2021 the income fell to £37,296. There were also some savings with the Ground being used less, the repair work during the year and at the end of the respective sports seasons was reduced. However, it was necessary to continue to maintain the Ground ready for when sport fully resumed. It is also worth remembering that sporting activities recommenced before the Clubhouse could fully reopen and this meant that there were Ground costs incurred but without the income generated from the Bar.

ii)   There was a reduction in our other overheads. There was relief for rates and fewer premises costs such as repairs, lighting and heating. Overall our total costs in 2019 were £84,755, in 2020 it was £78,738 and in 2021 £62,175.

iii)  The Club received help from the government in the form of grants received via Welwyn and Hatfield Council. Over the two years the club received a total of £52,357. This money was incredibly helpful and ensured the Club was able to remain on a firm financial footing. Without these funds the Club would have had to dig deep into its reserves which would have undoubtedly damaged the club’s ability to move forward.

iv)  The Clubs investments also performed well in this period showing an overall surplus of £31,445.

v) At 31st July 2021 the value of the investment was £203,522, with the club having funds in the bank of £67,190.

vi) I have also provided management accounts to 31st July 2022 to bring the financial position up to date. Overall  income has recovered to £91,567.30 for the year. There were no further grants received during this year so this represents income from Rent, Subscriptions and Donations. As you might expect with the resumption of all activities the expenditure has also increased with our total costs for the year being £76,184.37.

vii) At 31st July 2022 the investment was valued at £178,826 and the bank balance £71.059.

viii) Monies were paid out for the extension to the patio and a final repayment was made to Eamonn Dempsey for the cost of the replacement windows in the Clubhouse (Thanks to Eamonn for his help in ensuring the work was fully completed).

ix) During the year the Association also provided £4,000 in funds to the School to help the Owenians Alumni Members Club to commence holding events and activities for former pupils of the School. The balance of this account at the year end was £9,825.30.

The meeting thanked Richard for all the Financial information provided and for all his work as Treasurer. Thanks also to Nicki Culhane from the School for her help with the accounts.

8. Retirement of Directors:

Ian Breeze and William Hamilton-Hinds (WHH) resigned as a Director to the OOASC and both were re-elected as Directors by the meeting.

9. Appointment of Directors:

i) The Directors were re-elected ‘en bloc i.e. TL, IB, PK, KR, ST, VT, DW, WHH.

ii) No new Directors were proffered for election.

10. Election of Officers:

i) TL received a letter from a current OOASC member named Ms Ayo Abugo (AA), a parent at the School, who  registered her interest to join the OOASC Committee. Ms Abugo was proposed by IB and seconded by HN and the meeting agreed to her joining the Committee as an Ordinary Member.

ii) Proposal of Officers by TL seconded by DW (Done en bloc).

11. AOB:

Cricket Section

TL outlined the season in the absence of Robert Hattrell.

i) It was a fantastic season for Old Owens Cricket Club, as all teams shone and no games were lost due to the weather:
 The 1st Team won the Championship with 4 games to go and will play in the Premiership for the first time in the Club’s history.
 The 2nd Team won successive titles by winning Division 6A and will play in Division 5A next season.
 The 3rd Team finished 4th in Division 11 East, with their position impacted by having to concede a couple of games due to player availability. It was great to see a few of the juniors stepping up to play in the 3rd team which bodes well for the future.

ii) The junior section was a success with more and more players joining. We are also seeking to have more girls joining and playing. Next season we are aiming to have 4 teams playing (i.e. U9, U11, U12, U14). Indoor nets for juniors will commence in November.

iii)    A new sightscreen will probably be required next season for the main pitch.

Football Section

i) PK reported that Old Owens 2nd XI won the Old Boys Cup and the 3rd and 5th XI both won the League.

ii) There will be 4 teams playing on Saturdays next season in the Southern Amateur League.

iii) There is a possibility that the Vets will not play next season on Sundays due to player availability.

Thanks to Ian Breeze and Tim Lane for obtaining a full hiring of pitches during the Football and Cricket season gone and to Ed Clark and Andrew Ward and his team for Ground maintenance. 

Energy Crisis

i) With the Energy crisis looming there may be some options available to save money on running costs at the Club via a County grant of up to 10k for ‘Tackling Climate Change’. TL, IB and AW to investigate to determine if we are  eligible to make an application for a grant.

  • Trading figures for Bar and Food were initially produced by JLC. April was a good month that included an Elvis night, Quiz night and Owens Football Dinner. May was also a reasonable month.

  • JLC presentation for renewal of their contract followed. Discussed were the aims and vision of JLC, OOASC and the School. It was agreed that the inside of the Pavilion requires decorating i.e. flooring and a new colour scheme. JLC said that they would be willing to make a contribution depending on what was required. EC stated that they are planning to do up the BBQ area and he was particularly optimistic for the future of the Club. It was pointed out to JLC that the School would like to have more events at the Ground midweek e.g. parents get together, jazz nights etc. EC suggested that a sub-committee could be formed to plan midweek events which could maybe take place on a monthly basis. JLC said that prices have gone up regarding food and beer etc and bookings for private functions are definitely needed to increase to bring money in. As a result of the cost of living rises JLC are wary of committing for more than 1 year. The Committee agreed to a 1 year agreement with JLC to run the OOASC Bar and Catering services with rental to remain the same.

  • Richard produced figures on Profit and Loss and the Balance sheet. As at 31st May 2022 there is £79.8k in the Bank current account and £9.8k in the Owenians Alumni account and a surplus of £16.1k.

  • All Football invoices for season 21/22 have now been settled. IB has informed all Football Clubs of increased costs to OOASC (due to costs of fertilizer and materials) and will therefore be an increase in rentals.

  1. The Ground (TL/IB)

  • The Ground is in a good (if slightly dry) condition at the moment. Ed Clark and Ward Amenity are doing a good job.

  • Another feed and verti-drain will be needed at some point.

  1. OOASC Sports Clubs

      6.1    OOFC Football Section (PK)

  • Planning for next season. Probably 4 Saturday teams and a Sunday Vets team.

  • Trophy cabinets in the Clubhouse need to be looked at.

  • Payment made of £2,046 (via Jon Robinson) for OOASC subscriptions for 102 members.

      6.2    OOCC Cricket Section (Tim Lane) 

  • Junior nets are taking place outdoors on Monday evenings.

  • Matches for the junior section are also being played.

  • The 1st XI and 2nd XI are both currently top of their Divisions (Championship & Div 6A respectively) with the 3rd XI (Div 11 East) struggling a bit for availability and results but are still managing to put sides out thankfully.

  • Anna will be leaving her position of Owens Alumni Relations Manager in December 2022 but will still remain on the OOASC Committee.

  • Anna has organized a School Fest event that is taking place at the School on Sunday 3rd July from 12 pm to 5 pm (Anna will happily put names on her friends & family guest list from any Committee member who wishes to attend. They will be hosted in the CLUB ZONE).

               TL will tidy up the Contract Agreement and present to JLC for signing, which will
               cover the next year.

       11.2  Tennis

                TL advised that a proposal by a Tennis outfit organised by Andrew Ward is being
                put together and a subsequent meeting will follow to discuss their proposal.

OOASC Full Committee meeting 4th April 2022 – Minutes

Minutes of the Full Committee Meeting held on Monday 4th April 2022 at 7.30pm
 in the Les Williamson Room at Old Owen’s Sports Ground.

  2. Bar and Catering (John//Lynn Clark)
  • Trading figures for Bar and Food were produced by JLC. March was a good month that included a well attended Ladies night and April is promising with an Elvis night, Quiz night and Owens Football Dinner. JLC showed comparison figures for 2019, 2020 and 2021.
  • Bookings are coming in for later dates i.e. local school bbq’s, summer functions and private parties, some of which are midweek.
  • The deep clean of the kitchen is due to take place on the 17th
  • A temporary cleaner was found for the required 5 weeks of cleaning.
  • John was asked if a vegetarian option could be included on the Sunday Roast menu.
  • John has been asked to put forward JLC’s business plan for their contract renewal due 1st July 2022 and was told that JLC would have the first opportunity to present their plans to the Committee (A date for the presentation is due to be scheduled). John stated that JLC has spent 11 years here at OOASC and has paid the rental consistently on time and has tried to improve the Club and hopes that JLC’s efforts are recognised by the Committee.

  • Richard produced figures on Profit and Loss and the Balance sheet. We are in a fairly healthy position currently but this is slightly artificial as ground repairs (£15k) have not yet taken place but some Football rental (£5.5k) are due to be received.
  • As at 31st March 2022 we have £93.4k in the Bank current account and £9.8k in the Owenians Alumni account and a surplus of £36.5k.
  • Richard also produced a draft Financial Statement for the year ended 31st Jul 2021 which will need signing off.
  • Richard pointed out that a ground valuation in the not too distant future should be done for a more accurate rateable valuation and for insurance purposes.
  1. The Ground (TL/IB)
  • Football ends this week (9th April) at the Ground with ground renovations due to start on 11th
  • Cricket is due to start on the 30th
  • Fascias and Soffits repairs have been completed.
  • TL to get a quote for the flooring in the Clubhouse.

      6.1    OOFC Football Section (PK)

  • The 2nd XI won the Old Boys Cup, the 3rd XI the League and the 5th XI lost in 2 Cup Finals (AFA & SAL). The 1st XI are in the top third of SAL Senior Div 1.
  • AH liaised with Jon Robinson with regard to OOASC subscriptions from the Football Club. Jon is in the process of organising the payment.   

      6.2    OOCC Cricket Section (Tim Lane) 

  • Junior nets on Monday evenings at Owens School has now finished. Seniors will continue nets at the School for 2 more weeks. Juniors commence outdoors on Monday 25th
  • There will be 3 adult XI’s in the Herts. Saracens League and fixtures for the junior teams for season 2022.
  • First Senior friendly is Saturday 30th  April 2022.

  • Discussion ensued of vision for Club and involvement of Alumni.
  • AW pointed out that the Alumni database will need to be merged with the Association database.
    AW and AH to meet on 27th April to discuss the merging of both databases to the Alumni platform.

         11.1 OOASC Insurance Renewal (Tim Lane)

         The insurance was renewed for £3.8k with Victor Insurance (period 30th March 2022 to
         30th March 2023).

         11.2  Contracts
         Discussion ensued about the JLC contract and the expectations of the School and the
         Association with  regard to a vision of what is required from both sides to go forward
         (i.e. School vision combined with Sports Club vision). Members of the Committee had
         a general and frank exchange of ideas regarding the vision for Old Owens Sports Club
         and there was contrasting thoughts of what the function of the Club actually is.

         HN stressed the future involvement of the School and the willingness to invest some
         funds, time and expertise. Contract expertise was offered by HN but TL pointed out
         that the JLC Contract was an Agreement rather than a Contract.

         It was agreed that both the School and the Association should outline their vision,
         aims and objectives and meet for discussion (A meeting has been arranged on 11th
         May 2022 at 6.30 pm at Dame Alice Owen’s School). The resulting decisions made at
         the meeting will be giving to JLC prior to the presentation of their business plan (date
         to be confirmed).

         11.3   AGM

          An AGM has provisionally been scheduled for Wednesday 15th June 2022 (date & time
          to be confirmed). TL will be away for this date.
